Terms and Conditions


General

These General Terms and Conditions apply to all offers, orders, agreements and invoices of 3s*Balance, unless and insofar as deviated from in writing.
Any deviation from the general or special conditions must first be the subject of a written agreement signed by 3s*Balance.

Furthermore, hereinafter referred to as customer is any contracting party of 3s*Balance, both customers in the broad sense as principals, contractors and subcontractors, as well as their appointees.

The customer accepts these conditions without reservation, to the exclusion of his own condition, which can in no case be invoked against the seller, even if they were communicated after these conditions. These General Terms and Conditions take precedence over the conditions of the customer or third party, even if 3s*Balance has not expressly protested them.

All terms and conditions other than these General Terms and Conditions must be confirmed in writing by 3s*Balance


Commencement, duration and termination

A sale is only concluded after written confirmation by 3s*Balance. The signage of an Estimate or Sales Order and the start of execution counts as confirmation, unless this has been done subject to reservation.

3s*Balance can terminate the agreement with immediate effect if the customer does not, not properly or not fully comply with one or more of its obligations towards 3s*Balance or acts contrary thereto.

3s*Balance has the right to terminate the agreement with immediate effect without notice of default or judicial intervention if the customer has been declared bankrupt, has applied for or obtained a moratorium or has otherwise lost the free management of its assets. The latter party is then not entitled to any compensation.

Any cancellation of an order must be made in writing. It is only valid with written acceptance by 3s*Balance. In the event of cancellation, a fixed compensation of 20% of the price of the order is due.
Services are concluded for a minimum of 12 months and are then tacitly renewed for the same period. If the customer wishes to stop, this must be done in writing 3 months before the end of the current period.


Price

Price is exclusive of VAT, unless stated otherwise, and is as stipulated in the initial agreement. 3s*Balance nevertheless reserves the right to increase the price proportionally if an increase of at least 5% has occurred between the order and the delivery as a result of the increase in the prices of its suppliers and/or the increase in wages, exchange rates or other costs.


Execution times

Any specified execution times are only communicated by way of indication. They are provided by way of information only and are therefore not binding, unless expressly agreed between the parties. Delay in implementation can never give rise to a fine, compensation or dissolution of the agreement. In addition, delivery can only take place subject to the availability of any goods to be used. Unavailability of a specific good can never give rise to fines and/or compensation.


Delivery

The delivery times are only provided by way of information and are therefore not binding, unless expressly agreed. Delay in the execution of the order can never give rise to compensation or dissolution of the agreement. The delivery of software is understood to mean the provision by 3s*Balance to the customer of an executable version of the software on a magnetic carrier, readable by the customer's computer hardware, or installed on the customer's server.

Transport and any insurance costs are always at the expense of the customer, unless expressly agreed otherwise. Delivery is at the risk of the customer.

The buyer should immediately take delivery and inspect the goods and inspect the services after termination. Complaints are only valid if they are made by registered letter. Complaints that are not formulated within 8 days after delivery of the goods or termination of the service will no longer be accepted. The timely and well-founded complaints of the customer will give rise to repair or replacement of the delivered services and goods or the defective parts thereof by 3s*Balance without 3s*Balance being obliged to pay compensation in addition.

Hidden defects can only give rise to compensation if they are reported immediately after their discovery by registered letter. However, the goods or services may not be processed


Payments

Payment shall be due within 15 days of the invoice date or as stated otherwise and shall be deemed to have been accepted unless protested by registered letter within 08 calendar-days of the invoice date.

In case of non-payment on the due date, a default interest of 1% per month on the amount of the invoice shall be payable by operation of law and without notice of default.

If the debtor fails to pay the invoice due to negligence or for unfounded reasons, the amount of the invoice will be increased by right after notice of default by a fixed compensation of 12% with a minimum of 100 euros, without prejudice to any legal costs. Only online payments or bank transfers are accepted, no cash nor cheques.

In case of dispute, only the courts of Brussels and Halle are competent. All goods remain the property of 3s*Balance BV until full payment of the invoice. RD no. 1 art. 20
